LICENSE TERMS
Non-exclusive beat licenses from mikecarti. In force from 22 October 2026. This is the English text of the public offer; the Russian-language offer is the legally binding version.
This is a public offer by Daniil Timchenko, self-employed (professional income tax payer) in Russia, artist name mikecarti (the "Licensor"), to any person or company (the "Licensee") to conclude a license agreement on the terms below. The agreement is concluded when the Licensee pays for the chosen license; by paying, the Licensee accepts these terms in full.
1. DEFINITIONS
- Beat: an instrumental music work without lyrics by the Licensor (including one co-produced by the Licensor), offered on the Site.
- Site: https://mikecarti.pages.dev and the Licensor's Telegram https://t.me/mikecart1.
- Song: a new music work the Licensee creates using the Beat (adding vocals, lyrics and/or other elements).
- License: the right to use the Beat within the limits of the chosen license type (section 3).
- Order page: the private page on the Site that opens after payment with the download links.
- Streams: the total number of plays and views of the Song on all platforms (streaming services, YouTube, social media, etc.).
2. SUBJECT
2.1. The Licensor grants the Licensee, for a fee, a simple (non-exclusive) license to use the chosen Beat in the ways and within the limits of sections 3 and 4, worldwide, for the term of the copyright in the Beat.
2.2. The exclusive right to the Beat stays with the Licensor, who may license the same Beat to others.
2.3. The Licensor guarantees holding the rights needed to grant the License, including the consent of any co-producers.
3. LICENSE TYPES

3.1. Prices, deals and discounts are shown on the Site. Payment is 100% in advance.
3.2. Exclusive terms (price, transfer of rights) are agreed individually and signed as a separate agreement. This offer does not cover Exclusives, except clause 4.7.
3.3. When the stream limit is reached, further use of the Song needs the Licensor's agreement to extend the License.
4. WHAT YOU CAN AND CAN'T DO
4.1. You may create one Song with the Beat and reproduce and distribute it, including commercially, on streaming platforms, social media and YouTube, within the stream limit of your license.
4.1.1. A music video for the Song and performing the Song at concerts or other live shows are not allowed with the MP3 Lease or WAV Lease. These rights come only with an Exclusive.
4.2. Every release and post of the Song must credit the music as (made. mikecarti).
4.3. The Licensor keeps 50% of the writer's share in the Song. You may not present yourself as the sole author of the music.
4.4. You may not: sell, sublicense, transfer or distribute the Beat on its own (including as an instrumental or in beat packs); transfer the rights of this License to anyone; register the Beat or the Song in Content ID or similar content-identification systems under your name; use the Beat for more than one Song.
4.5. Purchased files may contain the Licensor's producer tag once or twice in the first seconds of the intro only; the rest of the Beat is tag-free.
4.6. You are responsible for the content of the Song (lyrics, vocals and other elements) and guarantee it doesn't infringe anyone's rights or the law.
4.7. If the exclusive right to the Beat is later sold to someone else, licenses already granted to you stay valid on the same terms.
5. ORDER AND DELIVERY
5.1. You choose a Beat and license on the Site, enter your email and go to the payment page of the payment service.
5.2. Right after payment your Order page opens with download links, valid for 7 days from payment. Download and save your files within that time.
5.3. The License is granted, and the Licensor's obligations fulfilled, when the download links are provided. The link validity doesn't limit the License term.
5.4. If you couldn't get your files for technical reasons, contact the Licensor (section 10) and they will be provided again.
6. PAYMENT
6.1. Payment is by card or another method available on the payment page.
6.2. Prices on the Site may be shown in US dollars and Russian rubles. When you pay in a currency other than rubles, the payment service may convert the amount; currency conversion and your bank's fees are paid by you.
6.3. The Licensor issues a receipt under Russian law on the professional income tax.
7. REFUNDS
7.1. Because the files are available for download right after payment, payments are not refunded, unless the Licensor did not provide the download links, or a delivered file is damaged and was not replaced within 5 business days of your request.
8. LIABILITY AND DISPUTES
8.1. If the License terms are broken (exceeding the stream limit, missing credit, use beyond the License), the Licensor may require the breach to be fixed, require the proper license to be bought, or end the License, and may protect their rights under the law of the Russian Federation.
8.2. Neither party is liable for failures caused by force majeure.
8.3. The agreement is governed by the law of the Russian Federation. Disputes are settled by negotiation; claims are answered within 30 calendar days. If no agreement is reached, the dispute goes to court under Russian law.
9. PERSONAL DATA AND CHANGES
9.1. By paying, you agree that the Licensor and the payment service process your personal data (email, payment data) only to perform the agreement, issue the receipt and contact you.
9.2. The Licensor may change these terms by publishing a new version on the Site. Changes don't apply to licenses paid before they were published.
